- Introduction
These Terms and Conditions (“Terms”) govern the use of the online shop operated by Fidelity Corporate Services Ltd, a Gibraltar-registered company with company number 77435, whose registered office is at Suite 925a, Europort, Europort Avenue, GX11 1AA, Gibraltar. By accessing this website and using the services on this website, you agree to be bound by these Terms and to comply with all applicable laws and regulations If you do not accept these Terms, you must refrain from using this website or any services offered through it. For the purposes of these Terms, “we,” “us,” and “our” refer to Fidelity Corporate Services Ltd. The terms “you” and “your” refer to any customer or entity placing an order through this website. The term “certificate” encompasses all documents issued by a relevant jurisdictional registry, including but not limited to Certificates of Good Standing and Certificate of Change of Name , as well as other corporate Certificates available for a particular company and according to the Client’s order.
- Use of Services
By using this website, you confirm that you are at least 18 years of age and possess the legal authority to enter into binding agreements. You agree to provide accurate and complete information when placing an order. Any false or incomplete information provided by you may result in delays, non-issuance of certificates, or cancellation of your order. We reserve the right to decline or cancel any order that does not meet the criteria outlined in these Terms.
- Orders and Payments
By placing an order on our website, you represent and warrant that you have the legal right to use any payment method provided and that all information supplied during the order process is accurate and complete.
All orders placed through this website are subject to acceptance and availability of the requested certificates. Orders will only be processed upon receipt of full payment. Payments must be made in United States Dollars (USD) via Worldpay, using VISA or MasterCard. Payments in Euros (EUR) or British Pounds Sterling (GBP) may be accepted at our sole discretion and upon prior request. We reserve the right to decline orders or terminate transactions if payment is not received in full or is otherwise invalid.
We reserve the right to refuse or cancel any order at our discretion, including but not limited to cases of product unavailability, pricing or description errors, inaccuracies in your order, or suspected fraud or unauthorized transactions.
Special Condition Regarding Certificate of Good Standing:
If a client orders a Certificate of Good Standing and the document cannot be obtained due to the company not holding good standing status, Fidelity Corporate Services Ltd will obtain an alternative certification confirming the company’s current legal status. This alternative certification will be provided in place of the originally requested Certificate of Good Standing, and no refunds will be issued for the order.
- Accounts
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
- Delivery of Certificates
Certificates will be delivered electronically to the email address provided at the time of order placement. Physical copies may be dispatched via courier upon request and at an additional cost, subject to courier availability and applicable delivery terms.
In the event that an email delivery fails due to a bounced email, incorrect address, or technical issues, we will take the following steps to ensure successful delivery:
- Email Resend Attempt: An automatic resend will be initiated within 24 hours.
- Alternative Contact: If the email continues to bounce back, we will attempt to contact the recipient via an alternative method, such as a secondary email (if provided) or phone number.
- Customer Notification: The client will be notified of the issue and requested to provide an updated email address for redelivery.
- Temporary Online Access: If necessary, a secure download link may be provided for the client to access the certificate online.
- Physical Copy Option: If electronic delivery is unsuccessful after multiple attempts, the client may request a physical copy, which will be dispatched via courier.
Delivery timelines are approximate and depend on the processing times of the relevant jurisdictional registry. While we endeavor to process orders promptly, we do not guarantee specific delivery timeframes and shall not be liable for any delays caused by the registry, courier services, or other circumstances beyond our control. Alternative delivery arrangements may be accommodated where feasible and upon prior agreement.
- Refunds and Cancellations
Refunds will only be issued under specific conditions, as outlined in our Refund Policy, which forms an integral part of these Terms. Refunds may be granted if the company in question is found to be non-existent or unregistered in the specified jurisdictional registry, or if the requested certificate is deemed unobtainable from the official registry. However, where the Registry requires payment to determine the availability of a requested document, and such payment has been made from our pre-funded account, no refunds shall be issued if the Registry confirms that the document is not available.
No refunds shall be granted for orders that have been successfully processed and issued, or in cases where the certificate is obtainable but contains information different from what was expected due to official registry records. In such cases, where the originally requested certificate cannot be issued, the Registry may provide an alternative certification reflecting the company’s current status, which shall be considered valid fulfillment of the order.
You may cancel your order within 24 hours of payment, provided the request has not been submitted to the registry. Refunds for cancellations are subject to a USD 30 administrative fee, which covers processing charges and incidental costs. No refunds will be granted once the order has been processed with the registry, or for certificates that have been successfully issued and delivered, including alternative certifications provided by the registry when the originally requested certificate is unavailable. - Limitation of Liability
This website and all materials provided herein, including but not limited to certificates and related services, are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Fidelity Corporate Services Ltd makes no representations or warranties, express or implied, regarding the website, its content, or the certificates provided, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other rights.
Fidelity Corporate Services Ltd shall not be liable for any direct, indirect, incidental, or consequential loss or damage arising from your use of or inability to use the website, its content, or any certificate purchased through this website. This includes, without limitation, loss of profits, business, revenue, data, or goodwill, even if Fidelity Corporate Services Ltd has been advised of the possibility of such damages.
In jurisdictions where the exclusion or limitation of certain warranties or liabilities is not permitted, our liability shall be limited to the maximum extent permitted by applicable law. Our total liability under these Terms shall be limited to the amount paid by you for the relevant certificate.
- Accuracy of Materials
The information provided on this website is for general informational purposes only and may not represent the most up-to-date or complete data. Fidelity Corporate Services Ltd does not guarantee the accuracy, reliability, or suitability of the materials on this website. Certificates and data provided upon order completion are accurate to the extent they are available from the Registry of Corporate Affairs or other relevant authorities at the time of fulfillment.
- Intellectual Property
The formatting, design, and presentation of certificates offered through this website are proprietary to Fidelity Corporate Services Ltd. Any reproduction, alteration, or unauthorized use of these materials is strictly prohibited. Your use of this website is limited to personal, non-commercial purposes. No license is granted to you to use, copy, or distribute any content for commercial purposes without explicit written consent from Fidelity Corporate Services Ltd. Third-party trademarks, logos, and intellectual property displayed on this website are the property of their respective owners and are used with permission.
