Company Name
This document is used to formally confirm the continued legal existence of an offshore company after some time has already passed since its registration. The Certificate of Good Standing confirms that the status of an independent legal entity (a juridical person) has not been revoked or become void for the particular offshore company, that this company has not been merged, filed for dissolution, or been struck off.
Issued by the Registrar of International Business Companies under the International Business Companies Act, 2016 (Act 15 of 2016) of the Republic of Seychelles, the certificate is signed at Victoria, Seychelles and bears the official red seal of the Registrar of International Business Companies.
When requesting a Certificate of Good Standing, you can generally expect to find the following information:
Company name
Company registration number
Date of incorporation
Confirmation that the company is currently registered and in active status, rather than dissolved, suspended, or in the process of being wound up
Confirmation that the company has paid all fees, license fees and penalties due and payable under the provisions of the International Business Companies Act, 2016
Confirmation that no articles of merger or consolidation have been filed with the Registrar
Confirmation that no articles of arrangement have been filed with the Registrar
Confirmation that no proceedings have been instituted to strike the name of the company off the Register
Confirmation that, as evidenced by the documents filed with the Registrar, the company is in good legal standing
Certificate of Good Standing can only be obtained as hard copy, sealed & certified by the Financial Services Authority.
